Welcome to Terminal Ledger. These Terms of Service ("Terms") govern your access to and use of the Terminal Ledger website, applications, and services (collectively, the "Service") operated by Obsidian Design, LLC ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Description of Service

Terminal Ledger is a trading journal and analytics platform designed to help traders track, analyze, and improve their trading performance. The Service includes features such as trade logging, performance analytics, journaling tools, and community features.

2. Account Registration

To use certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years of age to create an account and use the Service.

3. Subscription and Payment

3.1 Free Trial

We may offer a free trial period for new subscribers. At the end of your free trial, you will be automatically charged the applicable subscription fee unless you cancel before the trial period ends. You may only use one free trial per account.

3.2 Subscription Fees

Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). You authorize us to charge your designated payment method for all fees due.

3.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us.

3.4 Refunds

All subscription fees are non-refundable except as required by applicable law. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period.

3.5 Price Changes

We reserve the right to change our subscription fees at any time. Any price changes will be communicated to you in advance and will apply to the next billing cycle following the notice.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit any malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the integrity or performance of the Service
• Harass, abuse, or harm other users
• Use the Service for any fraudulent or deceptive purpose
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute the Service without our written consent

5. User Content

You retain ownership of any content you submit, post, or display through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating and improving the Service.

You are solely responsible for your User Content and the consequences of posting it. You represent and warrant that you have all necessary rights to your User Content and that it does not violate any third-party rights or applicable laws.

6. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by Obsidian Design, LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT PROVIDE FINANCIAL, INVESTMENT, TAX, OR LEGAL ADVICE. THE SERVICE IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. ANY TRADING DECISIONS YOU MAKE ARE YOUR SOLE RESPONSIBILITY.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OBSIDIAN DESIGN, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR TRADING LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Investment Disclaimer

Terminal Ledger is a journaling and analytics tool only. We do not provide:

• Investment advice or recommendations
• Financial planning services
• Trading signals or alerts
• Guarantees of trading performance

Trading involves substantial risk of loss. Past performance is not indicative of future results. You should consult with a qualified financial advisor before making any investment decisions.

10. Indemnification

You agree to indemnify, defend, and hold harmless Obsidian Design, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Effective Date" above. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

14. Miscellaneous

These Terms constitute the entire agreement between you and Obsidian Design, LLC regarding the Service. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
